Agreement to these terms

These Terms of Service apply to your use of geocentricai.com and its subdomains (the Website), and to anything else Geocentric operates (together with the Website, the Services). By using the Website you agree to these terms and to the Acceptable Use Policy, which forms part of them. On your first visit we ask you to confirm that you meet the minimum age and to accept these terms; your answers are recorded in your browser. If you do not agree, please do not use the Website.

The models and code we publish (the Releases), including model weights on Hugging Face and Ollama and source code on GitHub, are governed by the licence that accompanies each one, as explained in the next section. Downloading or running a Release does not require you to accept these terms in order to exercise the rights its licence gives you.

How these terms relate to the licences

Each Release carries its own licence. Unless a Release says otherwise, model weights are licensed under the Apache License, Version 2.0 and our code under the MIT licence. Those licences, and nothing in these terms, decide what you may do with a Release: you may use, copy, modify and distribute it, including commercially, as the licence allows.

These terms do not take away any right a licence gives you. Where these terms and a licence conflict about a Release, the licence wins. These terms still apply to the Website and to everything that is not licensed to you under an open licence, such as our name, logos, site design and artwork. The disclaimers and limits of liability in these terms are meant to sit alongside the licences, which already provide their Releases "as is" and exclude liability. They do not replace them, and they do not weaken them.

Who you are contracting with

Geocentric is an independent company operated by an individual owner as a sole proprietorship. It is not a limited liability company or a corporation, and it does not publish a business address. The contact routes below reach the owner directly. If Geocentric later becomes a limited liability company or other entity, these terms and the licences we have granted will continue to apply and may be assigned to that entity, and we will say so on this website.

Eligibility

Geocentric is not intended for individuals under 16. You must be at least 16 years old to use the Website. If we learn that an individual under 16 has provided personal information through the Website, we will take appropriate steps to address the associated data in accordance with applicable law. We ask you to confirm your age before you use the Website. If you are between 16 and the age of majority where you live, you may use the Website only with the involvement of a parent or guardian who agrees to these terms on your behalf. Geocentric may separately authorise a named individual under 16 to use the Services for internal development and safety testing, on the terms set out in our Children's Privacy notice; that authorisation is issued by us and is not available on request.

You must not use the Website if you are barred from doing so under applicable law, or if we have previously restricted your access for a violation of these terms.

Your responsibilities

Using an AI model does not move responsibility for your conduct onto the person who built it. In plain terms:

• You are responsible for your prompts, your inputs, your use of outputs, and the actions you take using a model or any software you build with it.
• You must hold the rights and permissions necessary for the content you give a model.
• You must comply with applicable law, including export control, sanctions, privacy, consumer-protection and computer-misuse laws that apply to you.
• You may not use the Services to infringe third-party rights.
• If you build or deploy a product or service on top of a Release, you are the one offering it, and you are responsible for its safety, its disclosures and its compliance with the laws that apply to it.
• Geocentric does not endorse and does not assume responsibility for the independent conduct of the people who use or modify its Releases.

The Acceptable Use Policy sets out specifically what we ask of you, and it is written to leave legitimate technical work alone.

The models and code

Geocentric's models are experimental text-generation models developed by Geocentric and published for you to download and run on your own hardware. They generate text and code. Each model's measured configuration, evaluation results and known limitations are published on its model card, including responses where it performed badly.

Our models are research releases, not products with an availability commitment. We may change, withdraw or stop updating any Release, including by removing it from a repository or platform, at any time. We provide no support, no maintenance, no security patches for downstream use, no service level agreement and no promise that any particular version will remain available.

No hosted service. Geocentric does not operate a hosted chat service, public API or accounts. When you run a Release, it runs on your hardware and your prompts and its responses stay there. If we introduce a hosted service in the future, we will publish its terms before it launches and will ask you to accept them.

Payment

The Services are free of charge and we do not process payments. There is no subscription, billing system or payment processor, and we do not collect payment card details. If we introduce paid plans, we will publish clear pricing, cancellation and refund terms before charging anyone, and we will not charge an existing free user without their affirmative agreement.

Your content

You keep whatever rights you already have in the text you give a model. Because Releases run on your machine, we do not receive it, we do not store it, and we cannot use it to train or align models.

If you send us something directly, such as an email, a bug report or a security report, you are choosing to share it with us and we will use it to respond to you. If you send feedback, suggestions or contributions, you grant Geocentric a perpetual, worldwide, royalty-free licence to use them without restriction or credit, and where the contribution is to an open-source repository it is licensed under that repository's licence.

Output

As between you and Geocentric, we do not claim ownership of the output a model generates for you, except where the output incorporates material Geocentric owns. Some honest limits on what that means:

• We cannot grant you copyright in output. In the United States and several other jurisdictions, material generated by an AI system without sufficient human authorship may not be protected by copyright at all. Whether any particular output is protectable is a question we cannot answer for you.
• Output is not guaranteed to be unique. Another user submitting a similar prompt may receive similar or identical text.
• Output is not guaranteed to be non-infringing. A language model can produce text that resembles material it was trained on, including code under open-source licences with conditions of their own. We do not warrant that output is free of third-party rights.
• Deciding whether and how to use output is yours. If you publish it or ship it, you take responsibility for it.

Geocentric’s intellectual property

Geocentric owns, or licenses, the Website, its design and code, our training and evaluation software, our model architectures, the Geocentric name and wordmark, the compact mark, the model character artwork, and our other proprietary technology. Nothing in these terms transfers any of it to you. The names Geocentric and Arc, our logos and our artwork are not licensed to you by any open-source licence on a Release; see Licences and trademarks.

Open releases and future models. Geocentric releases some models, including Arc, as open source under the Apache License, Version 2.0. That licence governs your use of those weights. We have not committed to releasing future models as open source, and some may be released on different terms or not at all.

Open licences on third-party components, training data and tools keep their own terms. Where a Release or this Website includes third-party material, its licence governs that material.

Safety, high-risk use and dual-use capability

Our models are small and experimental. Their published evaluations show where each is unreliable, such as factual accuracy, arithmetic, instruction following and generated code. Expect output that is sometimes incorrect, incomplete, out of date, insecure as code, biased, or irrelevant to what you asked. Verify anything that matters, and test and review any code before you run it.

Do not rely on a model where failure could cause harm. Do not use a model, without independent human verification and appropriate safeguards, in situations where its error could cause death, injury or serious harm, including medical, legal and financial advice, safety-critical systems, infrastructure, vehicles, weapons, or decisions that materially affect someone's rights, health, finances, employment, housing, credit, insurance, education or access to government services. Security capability is dual-use. Some models are trained on networking and cybersecurity material and can discuss or help find flaws in code and systems. That helps defenders and could help attackers. You must have authorisation for any system you test or analyse, and you alone are responsible for how you use anything a model produces. We do not know and cannot control how a Release is used once it is downloaded.

Disclaimer of warranties

THE WEBSITE, THE RELEASES AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW. We disclaim all warranties, including implied warranties of title, merchantability, fitness for a particular purpose and non-infringement, and any warranty arising from course of dealing or usage. We do not warrant that a model or any output will be accurate, complete, safe, secure, unbiased, uninterrupted or error-free, that defects will be corrected, or that a Release is free of viruses or other harmful components. You use them at your own risk.

The licence on each Release contains its own disclaimer, which also applies. Nothing here limits any warranty that the law does not allow us to disclaim.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GEOCENTRIC AND ITS OWNER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, A RELEASE OR ANY OUTPUT, UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To the extent permitted by applicable law, our total aggregate liability arising out of or relating to the Services, a Release or any output is limited to the greater of (a) the amount you paid us in the twelve months before the claim, which while everything is free is nothing, or (b) one hundred US dollars.

These limits do not apply to liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud, or for fraudulent misrepresentation. Some jurisdictions do not allow certain exclusions, and in those places these limits apply only to the extent permitted.

You acknowledge that the Releases are provided free of charge, that the limits in this section are a fair allocation of risk for that reason, and that Geocentric would not make them available without them.

Indemnity

If your use of the Website or the Services in breach of these terms, or your use of a Release to harm others or to break the law, causes a third-party claim against us, you agree to indemnify us for the reasonable costs and damages directly arising from that claim. We will notify you promptly of any such claim and will not settle it in a way that imposes an obligation on you without your consent.

This does not apply to claims arising from our own conduct, it does not limit your rights under an open-source licence, and it does not apply to consumers to the extent applicable consumer law does not permit it.

Suspension and termination

You can stop using the Website at any time. Because there are no accounts, there is nothing to close.

We may restrict or block access to the Website, our repositories or our other platforms where use violates these terms or the Acceptable Use Policy, threatens the security or availability of the Services, or is required by law. Where the situation allows it, we would rather apply a temporary restriction than a permanent one, and we take context, severity, intent and recurrence into account. We cannot revoke a licence you already hold to a copy of a Release you downloaded, except as that licence itself permits. Sections on intellectual property, disclaimers, liability, indemnity and governing law survive termination.

Changes to these terms

We may update these terms. The “last updated” date at the top of this page always reflects the current version. For changes that materially reduce your rights or materially expand ours, we will give notice on this website before they take effect, and we will ask you to accept again. Continuing to use the Website after a change takes effect means you accept the updated terms. Changes never apply retroactively to a Release you have already received under a licence.

Governing law and disputes

These terms are governed by the laws of Oklahoma, United States, without regard to its conflict-of-laws rules. Courts located in Oklahoma will have jurisdiction, and you and Geocentric consent to that jurisdiction.

There is no forced arbitration clause and no class-action waiver in these terms. We have deliberately not included one. If that changes, it will be presented conspicuously, with an opt-out procedure, and not buried in a routine update.

If you live in a jurisdiction whose law gives you the right to bring proceedings locally or to rely on mandatory local consumer protections, nothing here removes that right. Nothing in these terms waives rights that cannot lawfully be waived.

General

• Entire agreement. These terms, the Acceptable Use Policy and the licences on the Releases are the whole agreement between you and Geocentric about their subject matter, and replace earlier versions.
• Severability. If a provision is found unenforceable, it is limited to the minimum extent needed and the rest stays in force.
• No waiver. Not enforcing a provision is not a waiver of it.
• Assignment. You may not assign these terms without our consent. We may assign them, including to a company we form to carry on Geocentric, and we will say so on this website.
• No third-party beneficiaries, except that the people the limits of liability protect may rely on them.
• Force majeure. We are not liable for failures caused by events beyond our reasonable control.
• Export and sanctions. You may not use, export or re-export a Release in violation of United States or other applicable export control or sanctions laws.
• Notices. We give notice by posting it on this website or by email to an address you have given us.
